A contract is a written or spoken agreement between two or more parties that involves the sale of a product or real estate or employment, among other things. Contracts are necessary when going into agreements so that one can exercise the right to sue if one party does not abide by the terms and conditions of the contract.

For a contract to be legally binding, the parties signing it would have to be of sound mind and legal age, and entering into the contract on their own volition. There are various contracts available here on SampleForms. You may see our sample Contract Forms which are available for download.

What Is a Contract Addendum?

A Contract Addendum is a document that is used to add certain terms and conditions to an existing contract. This can be used when there are terms in a contract that were left out or not included in the original contract. A properly executed Contract Addendum does not change the entire original contract but only those terms specified in the addendum. We have provided a variety of Contract Addendum Forms on this article. You may download these forms and study them to use as basis for your own form. This will help you make sure that nothing gets left out and this will also save you the time and energy that you would have to spend to draft a Contract Addendum Form from scratch. Contract Amendment vs. Contract Addendum

It is important to know the difference between the two because they are quite so often interchanged. A Contract Amendment is usually just amending or changing the existing terms of a contract. It is not required to be on a separate document from the original contract, while a Contract Addendum does. A Contract Amendment is usually for altering or improving the original document or contract.

Guidelines in Writing a Contract Addendum

  • The first thing to keep in mind when writing a Contract Addendum is that it has to be clear that the addendum is connected to a prior or originally drafted contract. One of the things to do to ensure this is to use the same format as the one used in the original contract. That means you use the same font style, font size, and margins. Aside from this, you should also reference the original contract in the title of the addendum.
  • Next, the parties involved in the contract and the date of effectivity of the addendum should be indicated.
  • The next step is listing the terms and conditions of the original contract that the addendum is changing. You should also indicate if the listed items are meant to change or replace the ones in the original contract, or if it is an additional term or condition.

After these steps are done, the parties should sign the Contract Addendum, as well as a notary public. This is important so that the Contract Addendum will be official and legally binding. If you are in the real estate business, you may also see our Real Estate Sales Contract Forms.
